1. ACCEPTANCE OF TERMS
Welcome to Guru Ad (“we,” “us,” “our,” or “the Platform”). These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Guru Ad, a company incorporated under the laws of the Federal Republic of Nigeria with registration number 7166517, concerning your access to and use of our website, web application, mobile application, and related advertising services (collectively, the “Services”).
BY ACCESSING, BROWSING, REGISTERING FOR, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must immediately discontinue use of the Services.
These Terms apply to all users, including advertisers, publishers, agencies, businesses, and individual users. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. DESCRIPTION OF SERVICES
Guru Ad is a digital advertising platform that enables businesses and individuals to:
- Manage and deploy targeted advertising campaigns across our display network
- Access analytics and performance reports
- Manage billing, budgets, and payment methods
We reserve the right to modify, expand, or discontinue any aspect of the Services at any time, with or without notice.
3. ELIGIBILITY AND REGISTRATION
3.1 Age Requirement
You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Services. By registering, you represent and warrant that you meet this requirement.
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities under your account
4. USER REPRESENTATIONS AND OBLIGATIONS
By using the Services, you represent, warrant, and covenant that:
- All information you provide is true, accurate, and not misleading
- You have full legal capacity and authority to enter this Agreement
- Your use of the Services complies with all applicable Nigerian laws, including but not limited to:
The Nigeria Data Protection Regulation (NDPR) 2019
The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
The Advertising Regulatory Council of Nigeria (ARCON) Act 2022
Intellectual property and consumer protection laws
- Your advertising content does not infringe any third-party rights (copyright, trademark, privacy, publicity, etc.)
- You will not use automated systems (bots, scrapers, spiders) to access the Services without our prior written consent
- You will not engage in fraudulent, deceptive, or malicious activity, including click fraud, impression manipulation, or malware distribution
5. ADVERTISING CONTENT AND INTELLECTUAL PROPERTY
5.1 Your Content License
You retain all ownership rights to the advertising content, creatives, copy, images, videos, and materials you submit to the Platform (“Your Content”). By submitting Your Content, you grant Guru Ad a non-exclusive to:
- Host, reproduce, display, perform, and distribute Your Content solely for the purpose of delivering, optimizing, and reporting on your advertising campaigns
- Modify or adapt Your Content technically (e.g., resizing, format conversion) to ensure compatibility across our partner network
- Use aggregated, anonymized performance data derived from Your Content for platform improvement and benchmarking
Your Content must not:
- Be unlawful, defamatory, obscene, pornographic, hateful, discriminatory, or harassing
- Infringe any intellectual property, privacy, or publicity rights
- Contain malware, viruses, or malicious code
- Promote illegal goods, services, or activities (e.g., fraud, unlicensed financial services)
- Mislead consumers or make unsubstantiated claims
- Violate ARCON advertising guidelines or sector-specific regulations (e.g., health, finance, alcohol)
6. FEES, PAYMENT, AND BILLING
6.1 Pricing
Fees for advertising services are as displayed on the Platform or as agreed in a separate order form. All prices are stated in Nigerian Naira (₦) and are exclusive of VAT unless otherwise indicated.
6.2 Payment Processing
- Payments are processed securely via licensed third-party gateways (e.g., Paystack, Flutterwave)
- You authorize us to charge your designated payment method for campaign costs, fees, and applicable taxes
- We do not store full credit/debit card details on our servers
6.3 Billing Cycle & Invoices
Campaign budgets will be prepaid.
6.4 Automated Billing & System Records
Campaign charges are calculated automatically based on system-recorded ad display duration, impressions, and activity logs. Guru Ad’s system records shall be final and binding for billing purposes, subject only to correction of manifest errors.
6.5 Refunds
Refunds are governed exclusively by our Refund Policy.
6.6 Chargebacks
Unjustified payment reversals or chargebacks may result in:
- Immediate suspension of your account
- Permanent termination of Services
7. DATA PROTECTION AND PRIVACY
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data in compliance with the Nigeria Data Protection Regulation (NDPR) 2019 and other applicable laws.
Key commitments:
- We implement technical and organizational measures to safeguard your data
- We do not sell your personal data to third parties
- You may access, correct, or request deletion of your personal data via your account settings or by contacting us at privacy@guruad.ng
By using the Services, you consent to the processing of your data as described in our Privacy Policy
8. THIRD-PARTY SERVICES AND LINKS
The Platform may integrate with or link to third-party tools, ad networks, analytics providers, or payment processors (“Third-Party Services”).
- We do not control, endorse, or assume responsibility for Third-Party Services
- Your interactions with third parties are governed by their own terms and privacy policies
- We encourage you to review these before engaging
9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 Service Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT:
Guru Ad does not warrant or guarantee that the Services will be uninterrupted, secure, error-free, or continuously available.
Guru Ad makes no guarantees regarding campaign performance, results, conversions, audience reach, revenue outcomes, or the performance of third-party publishers, partners, or networks.
Guru Ad further does not guarantee uninterrupted display of advertisements and shall not be liable for downtime or disruption caused by power outages, connectivity failures, venue downtime, technical issues, or other events beyond its reasonable control.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Guru Ad and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your Content or advertising campaigns
- Your breach of these Terms or applicable law
- Your violation of any third-party rights
- Your use of the Services in a negligent or unlawful manner
11. TERM, SUSPENSION, AND TERMINATION
11.1 Term
This Agreement commences when you accept these Terms and continues until terminated by either party.
- You breach these Terms or applicable law
- We suspect fraudulent, abusive, or harmful activity
- Required for legal, regulatory, or security reasons
- You fail to maintain a valid payment method
- Your right to use the Services ceases immediately
- We may retain Your Content and data as required by law or for legitimate business purposes (e.g., fraud prevention, dispute resolution)
- Sections intended to survive (e.g., IP, indemnity, liability, governing law) shall remain in effect
12. MODIFICATIONS TO TERMS AND SERVICES
We reserve the right to update these Terms or the Services at any time.
- Material changes will be communicated via email, in-app notification, or prominent posting on the Platform
- Continued use of the Services after changes constitutes acceptance of the revised Terms
- If you object to changes, your sole remedy is to discontinue use and terminate your account
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
13.2 Dispute Resolution
- Step 1 – Informal Resolution: Parties shall first attempt to resolve disputes amicably through written notice and good-faith negotiation.
- Step 2 – Mediation: If unresolved within [30] days, disputes may be referred to mediation under the Lagos Multi-Door Courthouse (LMDC) or similar accredited body.
- Step 3 – Litigation: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Notwithstanding the above, Guru Ad reserves the right to seek injunctive or equitable relief in any competent court to protect its intellectual property or prevent irreparable harm.
14. GENERAL PROVISIONS
a. Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Guru Ad regarding the Services.
b. Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.
c. Waiver: Failure to enforce any right or provision is not a waiver of that right.
d. Assignment: You may not assign this Agreement without our prior written consent. Guru Ad may assign its rights in connection with a merger, acquisition, or sale of assets.
e. Notices: All notices shall be sent to the contact details provided in your account or to [legal@guruad.ng].
- Electronic Communications: You consent to receive communications from Guru Ad electronically, including notices, disclosures, invoices, account updates, and legal communications. Such communications may be delivered via email, in-app notifications, SMS (where applicable), or through the Platform. Electronic communications shall satisfy any legal requirement that such communications be in writing.
f. Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, war, government action, major network failures).
g. Language: These Terms are written in English. In case of translation discrepancies, the English version shall prevail.
h. No Partnership or Agency: Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, employment, or fiduciary relationship between you and Guru Ad. You and Guru Ad are independent contracting parties.
